END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Aspen Cloud Corporation ("Company") for the use of Triplit ("Software"). By using the Software, you agree to be bound by the terms and conditions of this Agreement.

1. LICENSE GRANT

1.1 The Company grants the User a non-exclusive, non-transferable, limited license to use the Software for its intended purpose.

1.2 The User may use the Software to access and manage databases hosted by the Company.

2. RESTRICTIONS

2.1 The User shall not:

Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Software. Reverse engineer, decompile, or disassemble the Software. Use the Software for any illegal or unauthorized purpose.

3. INTELLECTUAL PROPERTY

3.1 The Software and any accompanying materials are the property of the Company and are protected by copyright, trademark, and other intellectual property laws.

3.2 The User acknowledges that they are receiving a license to use the Software and that no title to the Software is being transferred to them.

4. USER DATA

4.1 The User retains ownership of any data they upload or manage using the Software.

4.2 The Company will take reasonable measures to protect the User’s data but is not responsible for any data loss or breach.

5. DISCLAIMER OF WARRANTIES

5.1 The Software is provided "as is" without warranty of any kind. The Company disclaims all warranties, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

6. LIMITATION OF LIABILITY

6.1 In no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if the Company has been advised of the possibility of such damages.

7. TERMINATION

7.1 This Agreement is effective until terminated. The User may terminate this Agreement at any time by discontinuing the use of the Software and destroying all copies of the Software.

7.2 The Company may terminate this Agreement if the User breaches any of the terms and conditions. Upon termination, the User must cease all use of the Software and destroy all copies of the Software.

8. GOVERNING LAW

8.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is located, without regard to its conflict of law principles.

9. ENTIRE AGREEMENT

9.1 This Agreement constitutes the entire agreement between the User and the Company and supersedes all prior agreements and understandings, whether written or oral, relating to the Software.

10. SEVERABILITY

10.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
